Terms and Conditions

1. Parties to the agreement

This document constitutes a legal agreement between:

• The Company: Diseño y Optimización Online S.A. de C.V. (hereinafter "DOO"), with commercial presence in the United Mexican States.
• The Affiliate: an individual of legal age who accepts these terms upon creating an account on the platform afiliados.optimizacion-online.com.mx.

2. Purpose of the program

The DOO Affiliate Program allows individuals to earn monetary commissions for referring prospects who subsequently purchase one or more DOO services. Participation in the program is free and voluntary. No employment, partnership or agency relationship exists between DOO and the Affiliate.

3. Registration and eligibility

To participate, the Affiliate must:

• Be an individual over 18 years of age with legal capacity to enter into contracts under Mexican law.
• Provide truthful and complete information during registration, including full name and a valid email address.
• Verify their email address through the link DOO will send after registration.
• Register a valid CLABE interbank account number (18 digits) in their own name to receive commission payments via SPEI.

DOO reserves the right to reject or cancel registrations that fail to meet the above requirements or contain false information.

4. Referral code and unique link

Upon completing registration, DOO will assign the Affiliate a unique, non-transferable code and a personalized referral link. Said link:

• Is the only valid mechanism for attributing a prospect to the Affiliate who generated it.
• May not be assigned, sold or shared with another Affiliate.
• Only generates a commission when the prospect who accesses through it actually purchases a service and DOO receives the corresponding payment.

5. Commissions

5.1 Commission tiers

Commissions are calculated on the actual amount charged to the client at the time the deal closes, according to the following monthly tiers:

The deal counter resets on the first day of each calendar month.

5.2 Commission generation

The commission is generated only when DOO records on the platform the closing of the deal and the actual receipt of the client's payment. The commission will remain in Pending status until DOO approves it and processes the payment to the Affiliate.

5.3 Payments and timelines

Commission payments are made exclusively by electronic interbank transfer (SPEI) to the CLABE registered by the Affiliate. Funds are credited within 5 to 10 business days from the date DOO approves the commission. DOO assumes no liability for delays attributable to banking institutions or to the Interbank Electronic Payment System (SPEI).

6. Affiliate obligations

The Affiliate agrees to:

• Refer only real prospects with genuine interest in DOO's services.
• Not make false, misleading or exaggerated claims about DOO's services when referring prospects.
• Not use spam practices, unsolicited mass emails or misleading advertising to promote their referral link.
• Not create multiple accounts to artificially increase commissions.
• Keep their contact and bank details up to date on the platform.
• Comply with the tax obligations applicable to income earned through the program, in accordance with current Mexican tax law.

7. Personal and bank data

DOO collects and processes the Affiliate's personal data —including name, email address and CLABE— for the sole purpose of managing their participation in the program and processing commission payments via SPEI.

• DOO does not request bank passwords, PINs, tokens or any other authentication data.
• Bank details are not shared with third parties nor used to make charges or debits.
• Personal data is processed in accordance with Mexico's Federal Law on the Protection of Personal Data Held by Private Parties (LFPDPPP) and its Regulations.

The Affiliate may exercise their ARCO rights (Access, Rectification, Cancellation and Opposition) by contacting DOO through the means indicated in section 11 of this document.

8. Termination of the agreement

DOO may suspend or cancel an Affiliate's account, without prior notice and without liability, in the following cases:

• Breach of any provision of these Terms and Conditions.
• Fraudulent use of the referral link or artificial manipulation of commissions.
• Registration of fake prospects or of people without their consent.
• Conduct that damages DOO's image or reputation.

In the event of cancellation due to breach, DOO reserves the right to withhold unpaid commissions. The Affiliate may cancel their participation at any time by notifying DOO; commissions already approved will be paid within the usual timeframe.

9. Changes to the program

DOO reserves the right to modify these Terms and Conditions, the commission tiers or any aspect of the program at any time. Changes will be published on this page. Continued use of the program after changes are published constitutes acceptance of the new terms. If the Affiliate does not accept the changes, they must cancel their account.

10. Limitation of liability

DOO shall not be liable for:

• Financial losses arising from the cancellation of deals by decision of the prospective client.
• Temporary interruptions in platform availability due to maintenance or force majeure.
• Delays in SPEI transfers attributable to banking institutions or to Banco de México.
• Damages arising from improper use of the referral link by the Affiliate.

11. Governing law and contact

This agreement is governed by the laws of the United Mexican States. Any dispute arising from its interpretation or performance shall be submitted to the jurisdiction of the competent courts of Mexico City, the parties waiving any other jurisdiction that may correspond to them.
